1. Overview & Program Scope (Canada Only)

OAK Club is the official loyalty program of OAKBERRY Canada (“OAK Club Canada”).

These Terms and Conditions (“Terms”) govern participation in OAK Club Canada at participating OAKBERRY Canada locations.

Important:

OAK Club programs offered in other countries, including the United States, are operated separately and governed by different platforms, entities, and terms.

OAK Club Canada:

• Is valid only at participating OAKBERRY Canada locations

• Is not transferable internationally

• Does not apply to OAKBERRY locations outside of Canada

• Is governed solely by Canadian law

Participation in OAK Club Canada does not create any rights in loyalty programs operated outside of Canada.

By enrolling in or participating in OAK Club Canada, you agree to these Terms.

2. Enrollment

To participate:

• You must register using a valid Canadian phone number.

• Enrollment may occur via the OAKBERRY Canada app or in-store (where available).

• Only one loyalty account per phone number is permitted.

You are responsible for ensuring your phone number is entered correctly at the time of purchase.

3. Earning OAKOINS

Members earn:

1 OAKOIN for every $3 CAD spent on eligible purchases at participating OAKBERRY Canada locations.

To earn OAKOINS:

• In-store: Enter the phone number associated with your loyalty account at checkout.

• In-app: Ensure you are logged into your loyalty profile when ordering (where available).

The Company reserves the right to exclude certain transactions at its discretion, including but not limited to:

• Taxes

• Gift card purchases

• Third-party delivery platforms

• Promotional discounts

• Adjustments, refunds, or voided transactions

OAKOINS have no cash value.

4. Redemption of OAKOINS

OAKOINS may be redeemed:

• In-store at participating OAKBERRY Canada locations by entering the associated phone number; or

• Through the OAKBERRY Canada app where available.

Standard Item Pricing

Redemption applies to the standard menu price of eligible items only.

If a redeemed item includes additional charges beyond the standard menu item, the Member is responsible for paying the difference at the time of purchase.

Provincial Tax Variations

Redemption values may vary slightly by province due to applicable taxes.

In certain provinces, the total amount required to redeem an item may exceed the base redeemable value due to tax differences. In such cases:

• Members may apply OAKOINS up to the maximum redeemable value; and

• Any remaining balance, including applicable taxes, must be paid by the Member.

OAKOINS:

• Do not expire

• Are non-transferable

• Cannot be exchanged for cash

OAKBERRY Canada reserves the right to determine eligible items and redemption values at its sole discretion.

5. Franchise Locations

OAKBERRY Canada locations are independently owned and operated franchise businesses.

While franchisees are expected to participate in OAK Club Canada in accordance with brand standards, certain operational procedures may vary slightly by location.

OAKBERRY Canada is not responsible for localized operational differences between franchise locations.

6. Technical Errors & Adjustments

OAKBERRY Canada is not responsible for technical errors, system malfunctions, duplicate transactions, delayed processing, connectivity issues, or other technological issues that may impact the earning or redemption of OAKOINS.

In the event of a confirmed system error, OAKBERRY Canada reserves the right to:

• Correct loyalty balances

• Reverse improperly credited OAKOINS

• Adjust redemption values

• Issue refunds or transaction reversals where appropriate

All determinations regarding technical errors are made at the sole discretion of OAKBERRY Canada.

7. No Guarantee of Continuous Availability

OAK Club Canada, the OAKBERRY Canada app, and in-store systems may be temporarily unavailable due to maintenance, updates, outages, or circumstances beyond our control.

OAKBERRY Canada does not guarantee uninterrupted access to the loyalty program and shall not be liable for any inability to earn or redeem OAKOINS during periods of service interruption.

8. Fraud, Abuse & Misuse

OAKBERRY Canada reserves the right to monitor loyalty accounts for fraud, abuse, or misuse.

Fraudulent activity may include, but is not limited to:

• Manipulating transactions to improperly accumulate OAKOINS

• Creating duplicate or unauthorized accounts

• Abuse of promotional offers

• Providing false or misleading information

If fraud or misuse is suspected, OAKBERRY Canada may, at its sole discretion:

• Suspend or terminate the loyalty account

• Remove improperly earned OAKOINS

• Refuse redemption of rewards

• Take additional action permitted by law

9. Program Modifications

OAKBERRY Canada reserves the right to modify, suspend, or terminate OAK Club Canada at any time, including:

• Adjusting earning rates

• Changing redemption values

• Updating eligibility requirements

• Discontinuing the program

Changes will become effective upon posting updated Terms on this page.

Continued participation in OAK Club Canada after changes are posted constitutes acceptance of the revised Terms.

10. Privacy & Data Use

Participation in OAK Club Canada requires the collection and processing of certain personal information, including phone number and transaction history.

OAKBERRY Canada may use third-party service providers, including Square, to administer loyalty and payment processing services.

Personal information is handled in accordance with our Privacy Policy.

11. Marketing Communications (If Applicable)

Enrollment in OAK Club Canada does not require consent to marketing communications.

If you choose to opt in to receive promotional emails or SMS messages, you may unsubscribe at any time by following the instructions provided in the communication.

12. Account Termination

OAKBERRY Canada may terminate or suspend participation in OAK Club Canada for violation of these Terms or applicable law.

13. Limitation of Liability

To the fullest extent permitted by law, OAKBERRY Canada shall not be liable for indirect, incidental, or consequential damages arising from participation in OAK Club Canada.

14. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Province in which the participating OAKBERRY Canada location operates, and the applicable federal laws of Canada.
